Terms and Conditions – Industrial IT Solutions Pvt. Ltd. Internal App (Pearl ERP)

 

These Terms and Conditions (“Terms”) govern the use of the Pearl Mobile Application (“App”), owned and operated by Industrial IT Solutions Pvt. Ltd. (“IITSOL”, “we”, “our”, or “us”). This App is intended solely for internal business use by authorised IITSOL employees and representatives. By using this App, you acknowledge and agree to these Terms. If you do not agree, you are not authorised to use the App.

 

1. Purpose of the App

  • The App is an internal productivity and monitoring tool that integrates with IITSOL’s ERP system.

  • It enables Sales Engineers to create and update leads and enquiry statuses, and Administrators to view and monitor enquiries, commercial offers, attendance, and budget performance.

  • The App is not open to the public and does not provide any commercial or public-facing services.

 

2. Eligibility & Access

  • Access is restricted to authorised personnel with valid ERP credentials.

  • The system administrator assigns login details to users.

  • Self-registration or sign-up is not permitted.

  • Each user is responsible for maintaining the confidentiality of their login credentials and all activities performed using them.

  • Unauthorised access, sharing of credentials, or misuse of company data may lead to disciplinary or legal action.

 

3. Data and Information Handling

  • The App reflects data from IITSOL’s central ERP database in real time.

  • Any data entered (e.g., new leads, enquiry updates) becomes part of the company’s ERP records.

  • Users must ensure the accuracy and integrity of all data they submit.

  • IITSOL reserves the right to audit, modify, or delete data to maintain system integrity.

 

4. Confidentiality

  • All information accessible through this App — including client data, commercial offers, leads, budgets, and internal metrics — is confidential company property.

  • Users must not share, copy, transmit, or disclose any such information to unauthorised individuals or external parties.

  • Breach of confidentiality will result in disciplinary action, including possible termination or legal proceedings.

 

5. Intellectual Property

  • The App, its software, content, user interface, and underlying technology are owned by IITSOL.

  • Users are granted a limited, revocable, non-transferable right to use the App solely for official company business.

  • Any unauthorised modification, reverse engineering, or duplication is strictly prohibited.

 

6. System Security

  • Users must not attempt to gain unauthorised access to any part of the system, or introduce any malicious code (e.g., malware, viruses).

  • The App may log access and user activity for audit and security purposes.

  • If suspicious activity is detected, IITSOL may restrict or revoke access immediately.

 

7. Disclaimer and Limitation of Liability

  • The App is provided “as is” for internal operational convenience.

  • IITSOL does not guarantee uninterrupted, error-free, or real-time performance at all times.

  • IITSOL shall not be liable for any data loss, downtime, or indirect damages resulting from use of the App.

  • Users are responsible for verifying critical data through the ERP system before making business decisions.

 

8. User Conduct

  • Users agree to use the App only for legitimate business activities.

  • Users agree not to alter or misuse data.

  • Users must immediately report any bugs, data inconsistencies, or security incidents to the IT Department.

 

9. Modifications and Updates

  • IITSOL may update or modify the App or these Terms at any time without prior notice.

  • Users will be deemed to have accepted the updated Terms upon continued use of the App.

 

10. Termination of Access

  • IITSOL reserves the right to revoke or suspend access for any user who violates these Terms or company policies.

  • Access will automatically terminate upon the end of employment or business relationship.

 

11. Governing Law

  • These Terms shall be governed by the laws of the Republic of India.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts at Faridabad, Haryana.
